Welcome to Emedia Networks

These Terms of Use govern your access to and use of Emedia Networks' services, including our custom audio-visual media solutions, digital signage, and other related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms of Use.

1. Acceptance of Terms

Emedia Networks provides its Services to you, subject to the following Terms of Use, which may be updated from time to time without notice. Your continued use of Emedia Networks' Services following any such changes shall constitute your acceptance of the new Terms of Use.

2. Description of Service

Emedia Networks offers a full-service audio-visual media solution tailored to retail environments. This includes custom content design, development, distribution, hardware and software integration, installation, network connectivity, and 24-hour support.

3. Use of Service

You agree to use Emedia Networks' Services for lawful purposes only and in a manner consistent with any and all applicable laws and regulations.

4. Intellectual Property Rights

All content provided through the Services, including but not limited to music, images, software, and designs, is the property of Emedia Networks or its licensors.

You may not reproduce, distribute, modify, or create derivative works of any content received through the Services without express written permission from Emedia Networks.

5. User Conduct

You are responsible for all activity that occurs under your account.

You agree not to access or attempt to access any of the Services by any means other than through the interface provided by Emedia Networks.

6. No Resale of Service

You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Services, use of the Services, or access to the Services without the express written consent of Emedia Networks.

7. Modifications to Service

Emedia Networks reserves the right at any time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

8. Termination

Emedia Networks may terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. This general termination right applies except as otherwise provided in any separate written agreement you may have with Emedia Networks. If you have entered into a separate written agreement with Emedia Networks for the use of the Services, the termination rights and procedures shall be governed by the terms of that agreement. In the event of any conflict between the termination provisions of this Terms of Use and the separate agreement, the terms of the separate agreement shall prevail.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. Emedia Networks expressly disclaims all warranties of any kind, whether express or implied.

10. Limitation of Liability

Emedia Networks shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from the use or the inability to use the Services.

11. General Information

These Terms of Use constitute the entire agreement between you and Emedia Networks regarding the general use of the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Emedia Networks with respect to the Services, except as provided herein. In case you have entered into a separate written agreement with Emedia Networks for specific services, terms, or conditions, such agreement shall coexist with these Terms of Use. Where there is any direct conflict between the provisions of these Terms of Use and the separate agreement, the terms of the separate agreement shall prevail with respect to the subject matter of that agreement. The terms of any separate agreement do not nullify the terms of these Terms of Use but rather supplement them. Provisions in these Terms of Use that are not addressed or explicitly overridden by the separate agreement remain in effect.
